Duties and composition of the Nominating Committee

The Nominating Committee is responsible for preparing and presenting proposals to the Annual General Meeting regarding the Board of Directors and the Auditors. The duties of the Nominating Committee also include proposing fees for Board members and Auditors.

The 2007 Annual General Meeting of OMX approved principles for the appointment of the Nominating Committee for the 2008 Annual General Meeting.

Due to the public offering for the shares in OMX, OMX has deviated from the Swedish code for Corporate Governance, which declares that the name of the members of the nominating committee shall be published and posted on the company's website six months ahead of the Annual General Meeting. The reason for the deviation is that the company with a very high likelihood was expected to be a fully owned subsidiary to NASDAQ already in the first quarter of 2008. It is reasonable to assume that the new owner will appoint a Board of Directors that largely is consisting of new Board members. Furthermore, OMX AB will be delisted from the Nordic Exchange and as a consequence, the Corporate Governance Codes will no longer apply.
